1. Acceptance of Terms

By accessing and using Underscore ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

• You must provide accurate and complete information
• You must be at least 18 years old to create an account
• You may not share your account with others
• You must notify us immediately of any unauthorized access

3. Artist Obligations

Artists who upload music to the Platform represent and warrant that:

• They own 100% of the rights to the music, OR have properly disclosed all co-owners and their ownership percentages
• The music does not infringe on any third-party copyrights, trademarks, or other intellectual property rights
• They have obtained all necessary licenses, clearances, and permissions for any samples or third-party content
• They have the legal right to license the music for sync placements
• All ownership declarations are accurate and complete

4. Industry User Obligations

Industry professionals using the Platform agree to:

• Use the Platform only for legitimate sync licensing purposes
• Not download, copy, or distribute music without proper licensing agreements
• Negotiate licensing terms directly and in good faith with artists
• Respect artists' intellectual property rights

5. Licensing & Sync Deals

Underscore is a platform that connects artists with industry professionals. We do not participate in licensing negotiations or take any percentage of sync deals. All licensing agreements are made directly between artists and industry users.

Artists retain full ownership of their music. The Platform only provides hosting and discovery services.

6. Membership & Payments

Free tier: 3 uploads, AI metadata, and 3 sync reports per month. Creator membership ($12.99/month) unlocks unlimited uploads, 30 sync reports/month, version management, and full sync scores. Lifetime ($97 one-time) includes everything in Creator plus every future feature, forever, no renewals. Industry/supervisor accounts are free forever.

• Free tier is capped at 3 uploaded tracks
• Subscriptions auto-renew unless cancelled via PayPal
• Refunds are handled on a case-by-case basis
• We reserve the right to change pricing with 30 days notice

7. Prohibited Content

You may not upload or share content that:

• Infringes on intellectual property rights
• Contains illegal material
• Is defamatory, obscene, or offensive
• Contains malware or harmful code
• Violates any applicable laws

8. Termination

We reserve the right to terminate or suspend accounts that violate these terms, particularly for false ownership declarations or copyright infringement. Terminated accounts forfeit any remaining membership time.

9. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind. We do not guarantee that artists will receive sync placements or that industry users will find suitable music.

10. Limitation of Liability

Underscore shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to lost profits, lost data, or business interruption.

11. Changes to Terms

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance of the new terms. We will notify users of significant changes via email or Platform notification.
